Accepting these terms
By creating an account, you agree to these terms and confirm that you have authority to accept them for the business you represent. If you do not agree, do not create an account or use the service.
TenderWise is intended for business and professional use. You must be at least 18 years old and legally capable of entering into a contract.
The service
TenderWise helps users upload and review construction tender documents, organise findings and clarifications, prepare scope decisions, and generate editable first-draft quotes and PDF packs.
The service uses automated and artificial-intelligence systems. Outputs may be incomplete, inaccurate or unsuitable for a particular project. TenderWise does not replace an estimator, quantity surveyor, engineer, lawyer or other qualified adviser.
You remain responsible for checking source documents, quantities, rates, scope, assumptions, contractual requirements, tax treatment and every output before relying on, issuing or submitting it. Nothing is issued automatically by TenderWise.
Accounts
- Provide accurate and current account and company details.
- Keep sign-in links and devices secure, and tell us promptly if you suspect unauthorised access.
- You are responsible for activity carried out through your account and for ensuring your users comply with these terms.
- We may refuse, suspend or close accounts used fraudulently, unlawfully or in breach of these terms.
Your documents and data
You retain ownership of documents, project information and other material you upload. You give us a limited licence to host, copy, transmit, analyse and format that material only as needed to operate, secure and support the service.
You confirm that you have the rights, permissions and lawful basis needed to upload and process the material, including any confidential information or personal data it contains. Do not upload material that is unlawful, malicious, export-controlled without authorisation, or beyond what is reasonably necessary for the tender workflow.
Our handling of personal data is described in the Privacy Notice.
Acceptable use
You must not:
- use TenderWise for unlawful, deceptive, harmful or abusive purposes;
- attempt to bypass usage, payment, security or access controls;
- probe, disrupt or overload the service, or introduce malware;
- access another customer's account, documents or outputs;
- resell or make the service available to third parties without our written agreement; or
- reverse engineer the service except where applicable law expressly permits it.
Product improvement
We do not use original uploaded files to train or refine TenderWise. We may create and use de-identified extracted findings, questions, scope classifications and quality feedback to test, evaluate and improve our own workflows and product.
We will not include original tender files in the improvement dataset, and we will take reasonable steps to remove direct identifiers and prevent re-identification. We will not use this material to train a third party's general-purpose model.
You confirm that you have authority to permit this use of project material. Our handling of any personal data and your right to object are explained in the Privacy Notice.
Plans, payments and refunds
Usage allowances, prices and included features are shown before purchase and may change for future purchases. Payments are processed by Stripe. Unless stated otherwise, a paid job unlock applies only to that tender job and is not a subscription.
Fees are due when you confirm payment. Because processing can begin immediately, fees are not refundable once substantial document analysis or quote generation has been supplied, except where required by law or where the service was materially defective. Contact us if you believe a charge is incorrect.
Availability and changes
We aim to keep TenderWise available but do not guarantee uninterrupted or error-free operation. Maintenance, security events, provider failures and changes to third-party services may affect availability. We may change or discontinue features, but will try to avoid materially reducing a paid entitlement without reasonable notice or a suitable remedy.
Intellectual property
We and our licensors own TenderWise, including its software, design, branding and service content. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes.
You may use and edit outputs generated for your account. This does not give you rights in third-party source material, and we do not guarantee that generated material is unique.
Liability
Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, anticipated savings, goodwill or data, or for losses caused by relying on an output without the professional review required by these terms.
Our total aggregate liability arising from the service in any 12-month period will not exceed the greater of £100 and the fees you paid us during that period. These limits apply only to the extent permitted by law.
Ending use
You may stop using the service at any time and may ask us to close your account. We may suspend or terminate access where you materially breach these terms, create security or legal risk, or fail to pay an amount due. Provisions intended to survive termination, including ownership, payment and liability provisions, will continue to apply.
Changes to these terms
We may update these terms as the service or law changes. The current version and effective date will appear on this page. If a change materially affects existing users, we will provide reasonable notice and may ask you to accept the updated terms.
General
These terms, together with the Privacy Notice and any written order or additional terms agreed with us, form the agreement between you and us for TenderWise. You may not transfer the agreement without our consent. If part of it is unenforceable, the remaining provisions continue to apply. A delay in enforcing a right is not a waiver of that right.
Law and contact
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights that apply under law.
